Article 1 (Purpose)
These Terms and Conditions set forth the terms of use, procedures, and the rights, obligations, and responsibilities between Nodamen Inc. (Business Registration No. 489-88-00555; hereinafter referred to as the "Company") and users of the Mindsight service (hereinafter referred to as the "Service") operated by the Company.
Article 2 (Definitions)
• "Service" refers to all features provided by the Company, including meditation and mindfulness content (audio, video), timer, emotion journaling (Insight), offline class reservations, counseling, chat, and any other related functions. • "User" refers to any person who agrees to these Terms and Conditions and uses the Service. • "Paid Service" refers to services that require payment, including content subscriptions, period passes, counseling passes, and class reservations. • "Content" refers to all digital materials provided within the Service, including text, images, audio, and video. • "Partner Center" refers to a business entity affiliated with the Company that offers offline meditation classes. • "Instructor" refers to a person who is affiliated with a Partner Center or who provides classes or counseling through the platform. • "Space Matching" refers to a platform feature through which a Partner Center provides its space to instructors via lease or revenue-sharing arrangements.
Article 3 (Effectiveness and Amendment of Terms)
• These Terms and Conditions shall take effect upon being posted on the Service or otherwise communicated to Users. • The Company may amend these Terms and Conditions to the extent permitted by applicable laws and regulations. In the event of an amendment, the Company shall specify the effective date and the reasons for the amendment, and shall post notice within the Service no later than seven (7) days prior to the effective date. • If a User does not agree to the amended Terms and Conditions, the User may discontinue use of the Service and withdraw their membership.
Article 4 (Membership Registration and Accounts)
• A User shall apply for membership by providing accurate information in the form prescribed by the Company and by agreeing to these Terms and Conditions. • The Company may reject a membership application or subsequently terminate a service agreement in any of the following cases: - The applicant has misappropriated another person's information. - The applicant has provided false information. - The applicant has previously had their membership revoked. • Users are responsible for the secure management of their account information and must promptly notify the Company upon becoming aware of any unauthorized use of their account.
Article 5 (Provision and Modification of the Service)
• The Service shall, in principle, be available 24 hours a day, 365 days a year; however, the Service may be temporarily suspended following prior notice when necessary for operational purposes such as system maintenance or updates. • The Company may modify the content, operational methods, or other aspects of the Service and shall provide prior notice in the case of material changes. • The Company may modify, suspend, or discontinue all or part of the services provided free of charge in accordance with Company policy, without providing separate compensation.
Article 6 (Paid Services and Payment)
• The fees and payment methods for Paid Services are displayed on the applicable Service screens. • Payments are processed through Toss Payments and may be made using credit cards, debit cards, simplified payment methods, and other available payment options. • Content subscription services are automatically renewed in accordance with the selected plan (monthly or annual). If a subscription is not canceled prior to the renewal date, payment will be automatically processed under the same terms. • Period passes and counseling passes are subject to the validity period and number of uses specified for each pass. • Users must accurately verify the payment details (including the amount, product name, and agreement to applicable terms) prior to completing payment. Completion of payment shall constitute acceptance of the applicable terms. • Matters relating to space leasing and revenue sharing shall be governed by separate agreements between the Company, Partner Centers, and Instructors.
Article 7 (Withdrawal of Subscription and Refunds)
• Users may withdraw their subscription in accordance with applicable laws and regulations. • Refunds shall be processed in accordance with the Company's refund policy. Detailed information is available on the separate refund policy page. • Refunds shall be processed through the original payment method and may take three (3) to five (5) business days to complete. • For digital content, the right to withdraw a subscription may be limited if the User has already played or downloaded the content. • Cancellation of a subscription service shall take effect from the next renewal date, and no refund shall be issued for the period already paid. • For counseling passes, refunds are available only for unused sessions; sessions already used are not eligible for refund. The refund amount shall be calculated as follows: (total payment amount – number of sessions used × standard per-session price).
Article 8 (Obligations of Users)
Users shall not engage in any of the following activities: • Misappropriating another person's information or registering false information • Interfering with the operation of the Service or placing abnormal load on the system • Unauthorized reproduction, distribution, transmission, or commercial use of Content • Using abusive language, defaming, stalking, or spreading false information about other Users • Conducting for-profit activities using the Service without the prior consent of the Company • Engaging in abusive language, sexual harassment, or other inappropriate conduct toward counselors during the use of counseling services • Any other activities that violate applicable laws, regulations, or these Terms and Conditions
Article 9 (Intellectual Property Rights)
• All copyrights and intellectual property rights in the Content within the Service (including audio, video, text, designs, and software) belong to the Company or the respective content providers. • Users may use the Content solely for personal and non-commercial purposes and may not reproduce, distribute, transmit, or create derivative works from the Content in any form without the prior written consent of the copyright holder.
Article 10 (Protection of Personal Information)
• The Company protects Users' personal information in accordance with the Personal Information Protection Act and other applicable laws, as well as the Company's Privacy Policy. For further details, please refer to the separate Privacy Policy. • The Company may entrust the processing of personal information to third parties to the extent necessary for the provision of the Service. Details are set forth in the Privacy Policy.
Article 11 (Termination of Service and Withdrawal of Membership)
• Users may terminate their service agreement (withdraw their membership) at any time through the Settings menu within the Service or by contacting Customer Support. • Refunds for unused portions of Paid Services upon termination shall be handled in accordance with the refund policy. • Following termination, the User's data shall be retained for the period required under applicable laws and regulations and subsequently destroyed.
Article 12 (Limitation of Liability)
• The Company shall not be held liable for any failure to provide the Service due to force majeure events, including but not limited to natural disasters, war, or national emergencies. • The Company shall not be held liable for any disruption in Service use attributable to the User. • Meditation and mindfulness content does not constitute medical treatment, and the Company assumes no medical liability for any health issues experienced by Users. • Ultimate responsibility for the quality and safety of offline classes provided by Partner Centers lies with the respective Partner Center. • The Company shall not be held liable for any degradation in the quality of video or voice counseling sessions caused by the communication environment of the User or the counselor.
Article 13 (Dispute Resolution)
• Disputes arising out of or in connection with these Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Korea. In the event of a dispute, the court with jurisdiction over the location of the Company's principal office shall have exclusive jurisdiction. • Users may file claims for redress with relevant authorities, including the Fair Trade Commission and the Korea Consumer Agency, regarding disputes between the Company and Users.
Supplementary Provisions
• These Terms and Conditions shall take effect on February 16, 2026. • Matters not stipulated in these Terms and Conditions shall be governed by applicable laws and regulations, including the Act on Consumer Protection in Electronic Commerce, the Act on Promotion of Information and Communications Network Utilization and Information Protection, and other relevant legislation.
